1. Acceptance of Terms
By accessing or using billiam.ai's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.
These Terms apply to all visitors, users, and others who access or use the Service. By using our Services, you represent that you are at least 18 years old or have parental consent to use our Services.
2. Service Description
billiam.ai provides AI-powered software as a service platform that includes:
- Advanced AI models for text generation, analysis, and processing
- Real-time data analysis and intelligent automation tools
- API access for integration with third-party applications
- Collaborative AI workspace and productivity features
- Custom AI model training and deployment capabilities
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.
3. Account Registration
3.1 Account Creation
To access certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
3.2 Account Security
You are responsible for safeguarding the password and for all activities that occur under your account. billiam.ai will not be liable for any loss or damage arising from your failure to comply with this security obligation.
4. Acceptable Use Policy
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Generate, distribute, or store illegal, harmful, or offensive content
- Infringe upon intellectual property rights of others
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or networks
- Engage in activities that could damage our reputation or Services
- Use the Services for unauthorized commercial purposes
- Circumvent usage limits or access restrictions
- Create content that promotes violence, discrimination, or illegal activities
- Impersonate others or misrepresent your affiliation
5. Competitor Restrictions & Reverse Engineering Prohibition
5.1 Competitor Access Prohibition
COMPETITOR COMPANIES OTHER THAN xAI, OpenAI or Anthropic, THEIR EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES ARE EXPRESSLY PROHIBITED FROM ACCESSING, USING, OR DOWNLOADING THE BILLIAM.AI SOFTWARE, SERVICES, OR ANY RELATED MATERIALS.
For purposes of these Terms, a "Competitor" is defined as any individual, entity, organization, or business that:
- Develops, markets, sells, distributes, or provides artificial intelligence software, services, platforms, or applications
- Offers AI-powered chatbot, assistant, code generation, text generation, or natural language processing services or products
- Provides machine learning, deep learning, or neural network-based software solutions
- Operates software-as-a-service (SaaS) platforms offering AI capabilities, API access to AI models, or AI integration services
- Develops or sells competitive intelligence, benchmarking, or analysis products targeting AI software companies
- Is engaged in the research, development, testing, or commercialization of products or services that compete with or are substantially similar to billiam.ai's Services
- Has publicly announced plans or intentions to develop products or services that would compete with billiam.ai
- Is acting on behalf of, consulting for, or providing services to any entity described above
BY ACCESSING OR USING OUR SERVICES, YOU REPRESENT AND WARRANT THAT YOU ARE NOT A COMPETITOR AND ARE NOT ACCESSING THE SERVICES ON BEHALF OF A COMPETITOR. If you are uncertain whether you or your organization qualifies as a Competitor, you must contact legal@billiam.ai for written authorization before accessing the Services.
5.2 Absolute Prohibition on Reverse Engineering
YOU ARE EXPRESSLY AND ABSOLUTELY PROHIBITED FROM REVERSE ENGINEERING, DECOMPILING, DISASSEMBLING, DECODING, OR OTHERWISE ATTEMPTING TO DERIVE, DISCOVER, OR EXTRACT THE SOURCE CODE, UNDERLYING ALGORITHMS, ARCHITECTURE, STRUCTURE, ORGANIZATION, INTERNAL DESIGN, TRADE SECRETS, OR ANY OTHER PROPRIETARY INFORMATION RELATED TO THE BILLIAM.AI SOFTWARE, SERVICES, APIs, MODELS, OR ANY COMPONENT THEREOF.
This prohibition specifically includes, but is not limited to:
- Reverse Engineering: Any attempt to recreate, reconstruct, or derive the design, architecture, algorithms, methods, techniques, processes, or source code of the Software through observation, testing, examination, or analysis
- Decompilation: Converting executable code, compiled binaries, or machine-readable formats back into human-readable source code or intermediate representations
- Disassembly: Translating machine code or binary code into assembly language or any other human-readable format to understand the Software's operation
- Code Analysis: Using debuggers, decompilers, disassemblers, hex editors, memory analyzers, network traffic interceptors, or any other software, hardware, or analytical tools to examine, probe, or analyze the Software's functionality, behavior, or internal workings
- Model Extraction: Attempting to extract, replicate, reconstruct, or reverse-engineer AI models, neural network architectures, training data, weights, parameters, hyperparameters, embeddings, or any machine learning components
- API Abuse: Systematic querying, probing, or testing of APIs to infer internal logic, algorithms, model behavior, training methodologies, or implementation details
- Performance Analysis: Conducting benchmarking, stress testing, timing analysis, side-channel analysis, or any systematic testing designed to understand internal operations, optimization techniques, or implementation strategies
- Output Analysis: Systematically analyzing outputs, responses, error messages, metadata, or behavioral patterns to reverse-engineer algorithms, models, prompts, or system architecture
- Data Mining: Scraping, harvesting, extracting, copying, or collecting data from the Services for the purpose of training competing AI models or understanding our proprietary methodologies
- Security Probing: Attempting to bypass, circumvent, disable, or interfere with security features, authentication mechanisms, access controls, encryption, obfuscation, or protective measures
5.3 Prohibition on Derivative Works and Competitive Analysis
You may not:
- Create derivative works, modifications, adaptations, translations, or any works based on the Services or any component thereof
- Use the Services to develop, train, test, benchmark, evaluate, or improve competing products or services
- Conduct competitive analysis, feature comparison, performance testing, or market research involving the Services
- Copy, reproduce, distribute, display, mirror, frame, or replicate any portion of the Services
- Remove, obscure, or alter any proprietary notices, labels, or marks on the Software
- Access the Services for the purpose of building a similar or competitive product or service
- Monitor availability, performance, functionality, or any other aspect of the Services for competitive purposes
5.4 Trade Secret Protection
The Software, including but not limited to its source code, algorithms, AI models, architectures, training methodologies, optimization techniques, data processing methods, and related documentation, constitutes valuable trade secrets and proprietary confidential information of billiam.ai. These trade secrets are protected under the Defend Trade Secrets Act of 2016 (18 U.S.C. § 1836 et seq.), the Uniform Trade Secrets Act as adopted in various states, and applicable state common law.
Any unauthorized access, acquisition, disclosure, or use of billiam.ai's trade secrets is strictly prohibited and will be prosecuted to the fullest extent of the law. You acknowledge that our trade secrets derive independent economic value from not being generally known or readily ascertainable by proper means by others who can obtain economic value from their disclosure or use.
5.5 Legal Consequences and Enforcement
VIOLATION OF THESE RESTRICTIONS CONSTITUTES A MATERIAL BREACH OF THIS AGREEMENT AND MAY VIOLATE FEDERAL AND STATE LAWS, INCLUDING BUT NOT LIMITED TO:
- Computer Fraud and Abuse Act (18 U.S.C. § 1030): Unauthorized access to computer systems and exceeding authorized access
- Digital Millennium Copyright Act (17 U.S.C. § 1201): Circumvention of technological protection measures and trafficking in circumvention devices
- Defend Trade Secrets Act (18 U.S.C. § 1836): Misappropriation of trade secrets with federal jurisdiction
- Economic Espionage Act (18 U.S.C. § 1831-1839): Theft of trade secrets for economic benefit
- Copyright Act (17 U.S.C. § 101 et seq.): Unauthorized reproduction, distribution, and creation of derivative works
- State trade secret laws: Uniform Trade Secrets Act provisions and common law protections in applicable jurisdictions
- State computer crime statutes: Unauthorized access and computer trespass laws
5.6 Remedies and Damages
In addition to immediate termination of your access to the Services, billiam.ai reserves the right to pursue all available legal remedies, including but not limited to:
- Injunctive Relief: Immediate temporary restraining orders, preliminary injunctions, and permanent injunctions to prevent ongoing or future violations, without requirement to post bond
- Monetary Damages: Recovery of actual damages, consequential damages, lost profits, unjust enrichment, and disgorgement of profits obtained through violation
- Statutory Damages: Enhanced damages under applicable statutes, including exemplary damages of up to twice the amount of actual damages for willful and malicious misappropriation under the Defend Trade Secrets Act
- Punitive Damages: Additional damages intended to punish willful, malicious, or fraudulent conduct
- Attorney's Fees and Costs: Full reimbursement of all reasonable attorney's fees, expert witness fees, investigation costs, court costs, and litigation expenses
- Criminal Prosecution: Referral to appropriate law enforcement authorities for criminal investigation and prosecution
- Industry Disclosure: Public disclosure of violations to protect other companies in the industry and warn potential customers of the violating party
YOU ACKNOWLEDGE THAT MONETARY DAMAGES MAY BE INSUFFICIENT TO COMPENSATE BILLIAM.AI FOR VIOLATIONS OF THIS SECTION AND THAT BILLIAM.AI SHALL BE ENTITLED TO SEEK EQUITABLE RELIEF, INCLUDING INJUNCTIVE RELIEF AND SPECIFIC PERFORMANCE, WITHOUT PROVING ACTUAL DAMAGES OR POSTING BOND.
5.7 Monitoring and Detection
billiam.ai reserves the right to monitor, log, analyze, and investigate all access to and use of the Services. We employ sophisticated detection systems, anomaly detection algorithms, behavioral analysis, forensic monitoring, and security measures to identify unauthorized access, reverse engineering attempts, competitive intelligence gathering, and violations of these Terms.
We may collect and preserve evidence of violations, including but not limited to access logs, IP addresses, user behavior patterns, query patterns, system commands, network traffic, and any other information necessary for enforcement and legal proceedings. This evidence may be provided to law enforcement authorities and used in civil or criminal proceedings.
5.8 No Authorized Exception
Notwithstanding any other provision of these Terms or any communication from billiam.ai representatives, there shall be NO IMPLIED OR EXPLICIT AUTHORIZATION for Competitors to access the Services or for any party to engage in reverse engineering activities. Any such authorization must be:
- Granted in a separate written agreement signed by an authorized officer of billiam.ai
- Explicitly reference this Section 5 and the specific prohibitions being waived
- Be limited in scope and duration as specified in such written agreement
5.9 Certification Requirement for Enterprise Users
Organizations subscribing to Enterprise or Advanced plans may be required to execute a separate written certification affirming that they are not Competitors and agreeing to additional protective covenants. billiam.ai reserves the right to conduct due diligence, request additional information, and verify the identity and business activities of any user or organization.
5.10 Reporting Violations
If you become aware of any violation of these restrictions, including unauthorized access by Competitors or reverse engineering attempts, you must immediately report such violations to legal@billiam.ai. Failure to report known violations may constitute a breach of these Terms.
6. AI Services & Usage
6.1 AI-Generated Content
You acknowledge that:
- AI-generated content may contain errors or inaccuracies
- You are responsible for reviewing and verifying all AI output
- AI models are trained on diverse datasets and may reflect biases
- Output should not be used as professional advice without verification
6.2 Usage Limits
Your use of AI Services is subject to usage limits based on your subscription plan. Exceeding these limits may result in additional charges or service suspension.
6.3 Model Training
If you use our custom model training features, you represent that you have the right to use any data provided for training purposes and that such data complies with our Acceptable Use Policy.
7. Payment & Billing
7.1 Subscription Plans
Access to certain Services requires a paid subscription. By subscribing, you agree to pay all applicable fees as described in your chosen plan.
7.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- Prices are subject to change with 30 days' notice
- You authorize us to charge your payment method for all fees
7.3 Free Trials
Free trial offers are limited to one per user/organization. At the end of the trial, your account will automatically convert to a paid subscription unless cancelled.
8. Intellectual Property
8.1 Our Property
The Service and its original content (excluding user-generated content) are and will remain the exclusive property of billiam.ai and its licensors. Our Services are protected by copyright, trademark, and other laws.
8.2 Your Content
You retain ownership of content you create using our Services. By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for the purpose of providing and improving our Services.
8.3 Feedback
Any feedback, suggestions, or ideas you provide about our Services becomes our property and may be used without compensation or attribution to you.
9. Privacy & Data Protection
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
We implement industry-standard security measures to protect your data, including:
- End-to-end encryption for data transmission
- Secure data storage with regular backups
- Access controls and authentication measures
- Regular security audits and updates
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLIAM.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
Our total liability for any claims under these Terms shall not exceed the amount paid by you to billiam.ai in the 12 months preceding the claim.
We provide our Services "as is" and "as available" without warranties of any kind, either express or implied.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
Upon termination, your right to use the Service will cease immediately. You may delete your account at any time through your account settings.
All provisions of these Terms which should reasonably survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
